These Terms and Conditions ("Terms") govern your access to and use of complypolicy.com (the "Website") and the ComplyPolicy platform, including all associated tools, dashboards, APIs, and services (collectively, the "Service"), provided by ILLUME Intelligence ("ILLUME Intelligence," "we," "us," or "our").
By accessing the Website, creating an account, or using the Service, you ("you," "User," or "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not access or use the Service.
ComplyPolicy provides tools to help businesses scan, detect, classify, and manage cookies and tracking technologies on their websites, obtain and log visitor consent, and generate compliance-related documentation and reports (collectively, the "Service"). The Service is offered on a subscription basis, as described in Section 5.
We may modify, update, or discontinue any feature of the Service at our discretion, with reasonable notice where the change materially affects your use of the Service.

We reserve the right to suspend or terminate access to the Service for any User who violates this Section.
"Customer Data" means any data, including personal data of your website visitors, that you or the Service collects, processes, or stores in connection with your use of the Service (e.g., cookie consent logs).
As between you and ILLUME Intelligence, you retain ownership of your Customer Data. You are solely responsible for ensuring that your use of the Service, and your own website's privacy notices and consent mechanisms, comply with applicable data protection laws, including the DPDP Act, GDPR, and CCPA as relevant to your users.
Where we process Customer Data on your behalf as a Data Processor (as described in our Privacy Policy), such processing is governed by our Data Processing Agreement, incorporated by reference into these Terms for paid Customers.
You warrant that you have all necessary rights, consents, and authority to use the Service in respect of the websites and data you submit to it.
The Service, including its software, design, trademarks, logos, and content (excluding Customer Data), is owned by ILLUME Intelligence or its licensors and is protected by applicable intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.
You may not copy, modify, distribute, sell, or lease any part of the Service, or use our trademarks or branding without our prior written permission, except as reasonably necessary to display the ComplyPolicy consent widget on your own website as intended by the Service.
The Service may integrate with or link to third-party tools, platforms, or websites (e.g., analytics providers, payment processors). We do not control and are not responsible for the content, privacy practices, or availability of these third parties. Your use of any third-party service is subject to that party's own terms and policies.
Each party agrees to protect the other party's confidential information disclosed in connection with the Service with the same degree of care it uses for its own confidential information (and no less than a reasonable degree of care), and not to disclose it to third parties except as necessary to perform its obligations, as required by law, or as otherwise permitted under these Terms.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service is a compliance-assistance tool and does not constitute legal advice. Use of ComplyPolicy does not guarantee compliance with the DPDP Act, GDPR, CCPA, or any other law, and does not substitute for independent legal review of your website and data practices. You remain solely responsible for your own legal and regulatory compliance.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless ILLUME Intelligence, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of applicable law, including data protection law, in connection with your use of the Service; or (c) your Customer Data or your website's own compliance practices.
We may revise these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will post the updated Terms on this page with a revised "Last Updated" date, and for material changes, we will provide additional notice (such as an email or in-app notification) before the changes take effect. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of India, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, save that either party may seek injunctive relief in any court of competent jurisdiction where necessary to protect its rights.
Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable order form or Data Processing Agreement, constitute the entire agreement between you and ILLUME Intelligence regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
